VayuTerra Systems provides sustainable technology solutions, including but not limited to, industrial energy audits, renewable energy infrastructure design (solar, wind, waste-to-energy), installation management, and smart grid optimization software. The specific scope of any engineering project will be governed by a separate Service Level Agreement (SLA) or Project Contract, which will take precedence over these general terms in the event of any conflict.
3. Intellectual Property Rights
All content on this website, including text, graphics, logos, images, and software, is the property of VayuTerra Systems and is protected by Indian and international copyright and trademark laws. This includes our proprietary 'VayuSmart' energy management algorithms and 'TerraFlow' waste-to-energy blueprints. You are granted a limited, non-exclusive license to access our website for informational purposes. Any reproduction, distribution, or modification of our intellectual property without prior written consent is strictly prohibited.
4. Use of Smart Grid Software
Clients who are granted access to VayuTerra's smart grid monitoring and optimization platforms must ensure that all access credentials are kept secure. You are responsible for all activities that occur under your account. Our software is provided as a 'Software-as-a-Service' (SaaS) and remains the property of VayuTerra Systems. We reserve the right to suspend access to these platforms for maintenance or in the event of a suspected security breach or violation of these terms.
5. Professional Consultancy Disclaimer
While VayuTerra Systems strives for absolute precision in our energy audits and feasibility studies, all projections regarding energy yield, carbon offsets, and financial ROI are based on historical data and predictive modeling. Actual results may vary due to environmental factors, grid fluctuations, and changes in facility operational patterns. Our consultancy reports are intended for strategic guidance and do not constitute a guarantee of specific financial performance or regulatory outcome.
6. Limitation of Liability
VayuTerra Systems shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our services or website. In the context of industrial installations, our liability is limited to the extent defined in the specific project contract and insurance certificates provided at the commencement of the engagement. We are not responsible for losses resulting from grid failures, extreme weather events exceeding design specifications, or unauthorized third-party interference with installed hardware.
7. Client Responsibilities
Industrial clients are responsible for providing accurate and complete facility data during the audit phase. This includes energy consumption history, site plans, and information regarding existing grid connections. Failure to provide accurate data may result in suboptimal system performance or delays in project deployment. Clients must also ensure that all necessary local permits and site access are granted to VayuTerra's engineering teams in accordance with the project timeline.
8. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms that cannot be resolved through mutual consultation shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka. Both parties agree to attempt mediation as a first step in resolving any professional dispute before proceeding to legal litigation.
9. Termination
VayuTerra Systems reserves the right to terminate your access to our website or services at our sole discretion, without notice, for conduct that we believe violates these terms or is harmful to other users, our business interests, or the environment. Provisions regarding intellectual property, limitation of liability, and governing law shall survive any termination of these terms.
